Terms of Service

These Terms of Service ("Terms") govern your access to and use of cyberverify.com and the Cyber Verify compliance products and services (the "Services") provided by MSP Alliance Inc. ("MSP Alliance," "we," "us," or "our"). Please read them carefully.

1. Acceptance of Terms

By creating an account, signing an order form, or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Eligibility and Accounts

You must be at least 18 years old to use the Services. You are responsible for the accuracy of the information you provide, the security of your credentials, and all activity under your account.

3. Subscriptions, Fees, and Payment

Paid features of the Services are sold on a subscription basis under an order form or online checkout. Fees are non-refundable except as expressly stated. Subscriptions renew automatically unless cancelled before the renewal date. Taxes are your responsibility unless we are legally required to collect them.

4. Acceptable Use

You agree not to:

  • Violate any applicable law or third-party right.
  • Reverse engineer, decompile, or attempt to derive source code from the Services.
  • Probe, scan, or test the vulnerability of the Services without our written permission.
  • Use the Services to build a competing product or to benchmark against us without authorization.
  • Upload malicious code, infringing content, or content you do not have rights to.
  • Resell, sublicense, or share access except as permitted under your subscription tier.

5. Customer Data and Confidentiality

You retain ownership of the data you submit to the Services ("Customer Data"). You grant us a limited license to host, process, and use Customer Data to deliver and improve the Services. We will treat Customer Data as confidential and apply reasonable safeguards consistent with our Privacy Policy.

6. Intellectual Property

MSP Alliance and our licensors own all intellectual property in the Services, including the Cyber Verify platform, the UCS standard mappings, CORTEX scoring engine, and our content. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. Feedback you provide may be used by us without restriction.

7. Auditor Network and Third-Party Services

When you engage an auditor, CPA, or C3PAO through our network, your relationship with that auditor is governed by a separate engagement agreement between you and them. We facilitate the introduction and platform-level data sharing but are not a party to the audit itself. Third-party integrations you enable are governed by their own terms.

8. Disclaimers

The Services are provided "as is" and "as available." We make no warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Compliance assessments, gap reports, and maturity scores are informational and do not guarantee certification, audit outcomes, or regulatory compliance.

9. Limitation of Liability

To the maximum extent permitted by law, MSP Alliance will not be liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, lost data, or loss of goodwill arising out of or related to the Services. Our total aggregate liability for any claim arising out of these Terms will not exceed the amounts you paid us in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless MSP Alliance and our officers, directors, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your Customer Data, your use of the Services in violation of these Terms, or your violation of applicable law or third-party rights.

11. Termination

Either party may terminate the Services for material breach if the breach is not cured within thirty (30) days of written notice. We may suspend or terminate the Services immediately for non-payment, abuse, or security risk. On termination, your right to access the Services ends, and we may delete Customer Data after a reasonable retention period.

12. Governing Law and Disputes

These Terms are governed by the laws of the United States and the State of Nevada, without regard to conflict-of-laws rules. Any dispute arising out of these Terms will be resolved in the state or federal courts located in Clark County, Nevada, and the parties consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the latest version. Material changes will be communicated through the Services or by email; continued use after changes take effect constitutes acceptance.
